Terms of Service
These terms define the conditions for using the software (as specified in Article 1) and all associated services, including the website, provided by Emsiot Co., Ltd. (hereinafter referred to as “our company”). By creating an account for the software, the customer is deemed to have agreed to all terms and conditions, establishing a software usage agreement (hereinafter “this agreement”) between the customer and our company. If the customer does not agree to these terms, they must immediately cease using the software.
Article 1 (Definitions)
In these terms, the following terms shall have the meanings set forth below.
“Terms”: These terms apply to all services provided by our company.
“Software”: The software developed for the industrial IoT dust collector “Emsiot” (https://software.emsiot.jp/user/login.html) and all related documents (including, but not limited to, manuals) accessible through related websites (https://emsiot.jp/).
“Customer”: The contractor utilizing the software.
“Recommended OS”: The OS permitted by our company for use with the software (Windows 10, Version 2 and later).
“Recommended Browser”: The browser permitted by our company for use with the software (Google Chrome, Safari).
Article 2 (Scope of Use)
The customer may use the software solely for the purpose of managing the industrial dust collector, the target product, and not for any other purpose. The software uses LTE and Wi-SUN communication, but no monthly usage fees are incurred. However, customers are responsible for preparing the network environment and any related communication costs. Use of the software is limited to the terminals and OS specified by our company, and re-licensing, transferring, or lending to third parties is prohibited.
Article 3 (Privacy Policy)
Our company shall appoint a personal information protection manager to oversee and safeguard personal information acquired in the course of providing the service, taking due care to manage it appropriately. We will maintain the accuracy and currency of personal information to the extent necessary to achieve the intended purpose and prevent unauthorized access, loss, destruction, alteration, or leakage. Personal information acquired will be used solely for the purposes specified below:
Provision of materials related to requested services
Response to various inquiries
Notifications about products, services, or events (such as exhibitions)
Data analysis for product and service improvement
Any purposes agreed to in advance by the customer We will not disclose or provide personal information to third parties without customer consent, except in the following cases:
Customer consent has been obtained
Required by law
Necessary to protect the life, body, or property of the customer or a third party and it is difficult to obtain customer consent
Necessary to protect or defend our company’s rights, property, or services against actions that violate laws or our terms, and obtaining customer consent is difficult.
Article 4 (Intellectual Property Rights)
The copyright and all other intellectual property rights related to the software belong to our company or a legitimate third party. The software usage license under these terms does not imply a transfer of intellectual property rights, and customers may not use the software beyond the licensed scope.
Article 5 (Disclaimer)
Our company will make reasonable efforts to modify the software to meet the contract requirements, but does not guarantee these modifications will be comprehensive. We disclaim all warranties, express or implied, regarding the quality and performance of the software, and shall not be liable for any damages arising directly or indirectly.
Article 6 (Compliance)
Customers shall use the software only within the specified purpose and shall not engage in reverse engineering, modification, or similar actions. Reproduction, modification, public transmission, and distribution of the software are strictly prohibited without prior written consent from our company. Our company does not store customer login information, and in the event of loss or leakage, customers are required to promptly request a password reset.
Article 7 (Compensation for Damages)
If the customer’s breach of these terms causes damage to our company, the customer shall be liable for compensation.
Article 8 (Contract Term and Termination)
This agreement is established upon submission of a software usage application by the customer and issuance of an account by our company. The agreement is valid for 10 years from the account issuance date; customers who wish to continue using the software after this period must submit a new application and obtain our company’s approval. Upon termination of this agreement, the customer must immediately cease using the software and delete all copies. If there is no usage for over 12 months after account issuance, the account may be temporarily locked, requiring reapplication to resume use. In cases of malicious conduct, our company reserves the right to terminate the agreement without notice.
Article 9 (Exclusion of Antisocial Forces)
The customer warrants that they are not, nor are they associated with, antisocial forces, and will not engage in any conduct related to such forces.
Article 10 (Governing Law and Jurisdiction)
This agreement is governed by the laws of Japan, and all disputes arising from it shall be subject to the exclusive jurisdiction of the Osaka District Court as the court of first instance.
Article 11 (Miscellaneous)
Communication fees associated with software use are the customer’s responsibility. Our company may implement software updates or specification changes without prior notice. Even if the software usage agreement is terminated, operation and use of the industrial dust collector itself can continue. Customers shall comply with import/export regulations when using the software.
